Overview

James G. Dowling Jr.’s practice includes corporate, commercial and real estate transactions. He has developed particular experience in representing automobile dealers, as well as in yacht and aircraft transactions and like kind exchanges.

Jim has extensive and varied automotive experience having been general counsel to one of the nation's largest dealers for more than 15 years. He also represents a number of local automobile dealers. He has written on the subject of establishing and protecting dealership identity.

    • Represented borrower in $280 million refinance of real estate loans, capital loans, floor plan loans and other financing facilities with respect to over 20 corporations and 15 locations in multiple jurisdictions
    • Represented purchaser in $100 million acquisition of company with multiple locations both owned and leased
    • Representation of and general counsel to privately held company with more than $1 billion in annual sales
    • Represented borrower in $25 million construction loan for construction of a new facility
    • Represented borrower in $125 million loan facility providing for working capital, term loans, real estate financing and floor plan financing
    • Represented purchasers and sellers of fixed wing aircraft including Gulfstream, Citation and Lear Jet as well as helicopters
    • Represented purchasers in the structuring, construction, purchase and sales of mega yachts measuring between 150 and 260 feet
    • Represented purchasers and sellers in the structuring and consummation of many Section 1031 exchange transactions
    • Represented lender in $100 million financing facility including working capital, term loan, floor plan financing and real estate financing
