SEMINAR: LLCs 2.0: Member Disputes & Drafting Tips to Avoid Them

Karen Wackerman, member of the Business and Finance practice, will participate in a panel hosted by the Connecticut Bar Association, “LLCs 2.0: Member Disputes & Drafting Tips to Avoid Them.”  

Learn everything you need to know about the new Connecticut Uniform LLC Act through hypothetical examples and case studies. Sample operating agreement provisions will be provided as the basis for drafting “dos” and “don’ts,” and the panel will make drafting suggestions to mitigate potential disputes.  The program will also address how best to draft language for governance, distributions, fiduciary duty limitations, judicial resolution of member disputes, and other tools to address commonly recurring LLC issues.  

Attendees will learn:

  • The principal business issues and how they affect clients under the new Connecticut Uniform LLC Act
  • How to draft better operating agreements and avoid making common drafting errors
  • Practical tips for advising new and existing LLCs and their members
