Negotiation Ethics for In-House Counsel-Walking the Line Between "Puffing" and Lying

Pullman & Comley attorneys David P. Atkins and Alex V. Hernandez spoke at this WESFACCA seminar about the tension between the attorney's duty to achieve the client's goals and his or her duty of honesty in negotiations with an adverse party.  Are there limits in what an advocate can or cannot say during the course of a negotiation?  Is counsel under a duty to correct the non-client's misunderstanding or, instead, a duty to refrain from correcting the mistake?  Is an in-house counsel ever required to actually refuse a client's negotiating instructions even if the client also is counsel's employer?
